Infrastructure Authorization & Signatory Assignment
Article I: Data Governance
This Privacy Framework is governed by the laws of the United Arab Emirates. Vilio (the "Provider") operates as a data processor in accordance with Federal Decree-Law No. 45 of 2021 regarding the Protection of Personal Data. The Client acknowledges that they remain the Data Controller and are solely responsible for the lawfulness of the data uploaded to the Vilio ecosystem.
Article II: Limitation of Cyber-Liability
While the Provider maintains technical safeguards, the Client expressly acknowledges that the digital transmission of data is subject to inherent risks. Pursuant to the UAE’s legal standards for technology providers, Vilio, its parent entities, and its shareholders in their personal and individual capacities, disclaim all liability for unauthorized access, data exfiltration, or breaches occurring via third-party interference. No warranties, express or implied, are provided regarding the absolute security of the infrastructure.
Article III: Global Processing
By utilizing the Vilio Engine, the Client consents to the cross-border processing of metadata for the purpose of system optimization and AI-driven diagnostic improvements. It is the Client’s responsibility to ensure their internal data policies align with this framework before initialization.
Section 1. Nature of Agreement
Use of the Vilio platform constitutes a binding legal agreement governed by the laws of the United Arab Emirates. It is the sole responsibility of the Client to review, comprehend, and adhere to these terms prior to account activation. Failure to review these terms does not exempt the Client from the obligations contained herein.
Section 2. Financial Obligations & Remuneration
All Engine subscriptions are strictly non-refundable and non-creditable. In accordance with UAE commercial practice, the Provider maintains a firm no-refund policy for all realized and unrealized service periods. Subscriptions shall automatically renew unless a formal written notice of non-renewal is submitted to inquiry@vlilio.com no less than sixty (60) days prior to the desired termination date.
Section 3. Corporate & Personal Indemnity
To the fullest extent permitted by UAE law, the Provider shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue or business interruption. The Client explicitly waives any right to pursue legal action against the shareholders, directors, or employees of Vilio in their personal capacity. Total aggregate liability for any claim arising under this agreement is capped at a value of zero (0) USD/AED.
Section 4. Service Availability
The platform is provided on an "as-available" basis. Maintenance windows, regional connectivity issues, or technical force majeure do not constitute a breach of contract and do not entitle the Client to service credits or financial compensation.
